Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Rise Budo mobile application and web platform (collectively, the “Service”) operated by KinCode LLC (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use Rise Budo. If you are under 18, your parent or legal guardian must review and consent to these Terms on your behalf through your school’s enrollment process. By using the Service, you represent that you meet these requirements.

2. Accounts

Registration
You must create an account to use Rise Budo. You are responsible for providing accurate information and keeping your account credentials secure. You may not share your account with others or create accounts on behalf of others without their consent.

School enrollment
Student accounts are created through enrollment by a school instructor or administrator. Your access to Rise Budo is tied to your school’s active subscription. If your school’s subscription ends, your access to the Service will be suspended.

Account termination
We reserve the right to suspend or terminate your account if you violate these Terms, engage in abusive behavior, or for any other reason at our sole discretion with reasonable notice.

3. Acceptable use

You agree to use Rise Budo only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable law or regulation
• Post content that is abusive, harassing, threatening, defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to any part of the Service or other users’ accounts
• Upload or transmit viruses, malware, or any other malicious code
• Use the Service to send unsolicited communications or spam
• Scrape, crawl, or systematically extract data from the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service for any commercial purpose not expressly permitted by us

4. User content

Your content
You retain ownership of content you submit to Rise Budo, including assignment submissions, community posts, and messages. By submitting content, you grant KinCode LLC a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute that content solely to provide the Service.

Instructor content
Instructors retain ownership of curriculum content, modules, assignments, and other materials they create within Rise Budo. By creating content on the platform, instructors grant KinCode LLC a non-exclusive license to host and deliver that content to enrolled students.

Community conduct
The Rise Budo community board is a shared space for school members. You are responsible for all content you post. We reserve the right to remove content that violates these Terms or our Community Guidelines without notice.

Prohibited content
You may not post content that:

• Infringes any third party’s intellectual property rights
• Contains personal information of others without their consent
• Is sexually explicit or violent
• Promotes discrimination, hatred, or harm against any individual or group
• Violates any applicable law

5. Intellectual property

The Rise Budo platform, including its software, design, logos, and content created by KinCode LLC, is owned by KinCode LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our written permission.

6. School subscriptions and billing

Instructor accounts
School instructors subscribe to Rise Budo through KinCode LLC. Subscription terms, pricing, and billing are governed by the separate Rise Budo Tenant Agreement entered into at the time of subscription.

Student accounts
Student access to Rise Budo is provided through the school’s subscription at no direct charge to the student unless otherwise arranged with the school.

Refunds
Refund requests for school subscriptions are governed by the Rise Budo Tenant Agreement. We do not offer refunds for partial billing periods.

7. Third-party services

Rise Budo integrates with third-party services including Google (authentication and file storage), Stripe (payment processing), Resend (email), SignWell (digital signing), and Expo (mobile infrastructure). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

8. Disclaimers

Physical activity
Rise Budo is a platform for managing martial arts curriculum and training. Participation in martial arts involves physical risk. We are not responsible for any injury, harm, or damage arising from your participation in martial arts training or physical activity associated with use of the Service. Always consult a qualified instructor and medical professional before beginning any physical training program.

Service availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue the Service or any feature at any time with reasonable notice.

Accuracy
We do not warrant that any content on the Service is accurate, complete, or current. Curriculum content is created by instructors and we make no representations about its accuracy or fitness for any purpose.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINCODE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• YOUR USE OF OR INABILITY TO USE THE SERVICE
• ANY CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY PHYSICAL INJURY ARISING FROM MARTIAL ARTS TRAINING

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless KinCode LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party’s rights.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Chatham County, Georgia. You consent to personal jurisdiction in those courts.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

13. Entire agreement

These Terms, together with our Privacy Policy and any applicable Tenant Agreement, constitute the entire agreement between you and KinCode LLC regarding the Service and supersede all prior agreements.
